AZULIK® TRIBE offers its registered users the Internet site https://azuliktribe.com/

AZULIK® TRIBE is a collaborative platform designed for AZULIK® TRIBE to publish challenges, projects, and/or challenges in different subjects so that USERS can contribute their own ideas and suggest solutions to them, publish their own challenges, the above as an exchange of recognition in our social networks on Facebook® and Instagram®, or through the payment of an economic consideration solely and exclusively concerning the projects that are winners whose decision is unilateral, discretionary and final by AZULIK® TRIBE.

Winning Projects

AZULIK® TRIBE will unilaterally appoint a committee made up of at least 3 (three) people who will evaluate the projects at their sole discretion and following the needs of each published challenge.

AZULIK® TRIBE undertakes that in each challenge it will publish the type of consideration to which the USER will be entitled, which may be: i) Social recognition in AZULIK® TRIBE's social networks or, whatever is defined in each one of the challenges according to its level and degree of complexity;

Electronic Communication

The user agrees that communications by email accounts or other electronic means manifested by the user himself will be considered as valid between the parties, in terms of the applicable legal provisions.

If THE USER fails to comply in a timely manner with any of its obligations under these T&C, AZULIK® TRIBE reserves the right to suspend the provision of services and the use of the application and cancellation of the USER's account without liability. some.

Confidentiality

The Parties will keep confidential all information related to this Agreement, except for that information that (i) the Parties agree in advance and in writing that may be disclosed; (ii) is of a public nature; and/or (iii) any of the Parties has the obligation to disclose, reveal, make available to, or share with any governmental authority or with any market or stock exchange in which their shares or securities are listed, under the legislation applicable or by any judicial or administrative order or resolution, in which case it must inform the counterpart in writing regarding its obligation to disclose information.

Intellectual Property Rights (Copyrights and industrial property rights)

That by carrying out any publication on the https://azuliktribe.com/ said information and documentation may be seen by other users (third parties unrelated to AZULIK® TRIBE) and that at this time they release AZULIK® TRIBE from any contingency or responsibility for the misuse that third parties may make of said information; That AZULIK® TRIBE will respect the authorship of the information at all times.

In the event that any user or a third party performs an act of unfair competition or action in frank violation of the rights of AZULIK® TRIBE, the corresponding actions will be initiated to claim their rights, in accordance with the applicable legal provisions.

AZULIK® TRIBE will use its reasonable efforts to maintain the website https://azuliktribe.com/ as well as the application for smartphones (if applicable) in a fully operational and error-free condition, however, it is not responsible for any failure or error of the platform. We will not have any responsibility for any failure in your access to the Website or its platform that is caused by any software used by you in the introduction of information.

AZULIK® TRIBE reserves the right not to accept, publish, show or transmit any user content at its own discretion. AZULIK® TRIBE has the right to review and remove any user content that, in its sole discretion, violates these terms and conditions, the regulations and legislation in force, when it is abusive, harmful, offensive, or illegal, or that violates the rights, damages or threatens the safety of the users of the website. AZULIK® TRIBE reserves the right to limit or veto the use of the platform to users and prevent them from accessing and/or using the website again for violating these terms and conditions, the applicable laws, rules, or regulations. Term and early termination

The parties undertake that all personal data, as defined in the Federal Law on Protection of Personal Data Held by Private Parties and its Regulations, will be treated with the utmost caution and confidentially, protecting them at all times, maintaining and establishing administrative, technical, and physical security measures that allow protecting them against damage, loss, alteration, destruction or unauthorized use, access or treatment, observing at all times principles of legality, consent, information, quality, purpose, loyalty, proportionality, and responsibility regarding said data.

The obligations in charge of the parties referred to in this clause, will remain in force as long as this instrument subsists and indefinitely after its termination or natural or early termination, for any reason. In no case, the breach of any of the parties with respect to any of the obligations emanating from this contract will release the other from the obligations and terms contained in this clause.

Taxes.

Present and future taxes that are caused by the reason of this contract, will be covered by whoever has the obligation to cause them, pay them, pay them or collect them, in accordance with current tax legislation. In no case will the parties absorb the contributions or taxes payable by the counterpart.

Conflict resolution.

In case of dispute between the PARTIES derived from conflicts developed during or after the contractual relationship, the PARTIES must immediately and in good faith, negotiate and conciliate a solution that allows the resolution of the conflict.

In the event of non-compliance with the obligations established in this contract by any of the PARTIES, solutions must be sought in good faith through negotiation and conciliation.

In case of not reaching an agreement for the resolution of the conflict, the PARTIES, are subject to the terms established in this contract and to the applicable legislation.

Various

THE USER states that he has sufficient legal and economic capacity to contract and be bound by the terms of this contract.

In accordance with the nature of the operations agreed upon here, the USERS acknowledge that AZULIK® TRIBE is not granting them any type of commercial or civil relationship, or mandate, which does not fit in any way any employment relationship with the users, only their functions are limited to post challenges.

AZULIK® TRIBE cannot ensure that a user will perfect an agreed operation nor can it verify the identity or personal data entered by users, likewise, it does not guarantee the veracity of third-party advertising that appears on the site.

AZULIK® TRIBE is not responsible for any damage or loss that is caused directly or indirectly by its own or unrelated failures of AZULIK® TRIBE in the system, in the server, as well as by any harmful computer program.

These T&C and their informative title page constitute the sole and total agreement between the Parties, therefore it exceeds and renders without effect any other negotiation, communication obligation, or document, whether verbal or in writing, carried out or contracted in any way prior to the date of the electronic signature of this Contract.

Applicable law and jurisdiction

These Terms and Conditions of Use are agreed between the user and AZULIK® TRIBE, therefore, in case of controversy, they will be subject to and interpreted in accordance with the Laws and Courts of the City of Tulum, State of Quintana Roo, Mexico.

AZULIK® TRIBE es una plataforma colaborativa diseñada para efecto de que AZULIK® TRIBE publique desafíos, proyectos y/o retos en diferentes materias para efecto de que los USUARIOS aporten sus ideas propias y sugieran soluciones a los mismos publiquen sus propios desafíos, lo anterior a cambio de un reconocimiento en nuestras redes sociales en Facebook® e Instagram®, o a través del pago de una contraprestación económica única y exclusivamente respecto de los proyectos que resulten ganadores cuya decisión es unilateral, discrecional y final por parte de AZULIK® TRIBE.

Hacemos de su conocimiento que, a efecto de poder utilizar nuestro sitio de internet, https://azuliktribe.com/, usted acepta y queda sujeto a los términos y condiciones (TYC) mencionados en el presente documento.

AZULIK® TRIBE se reserva el derecho de modificar los presentes TYC en el momento en que lo considere conveniente en forma discrecional haciendo del conocimiento del usuario, siendo esta versión la que se encuentra vigente a la fecha.

De igual forma, AZULIK® TRIBE se reserva el derecho de realizar las modificaciones, y actualizaciones a la aplicación y/o página de internet que considere convenientes.

Aceptación de Términos Legales

Con la finalidad de poder brindarle un mejor servicio y garantizado, se establecen reglas y términos bajo los cuales se delimitan las áreas de responsabilidad y derechos tanto de AZULIK® TRIBE como de nuestros usuarios.

Políticas de Seguridad

AZULIK® TRIBE es consciente que la información que obtiene de cada uno de sus usuarios constituye información de carácter personal y privada. En virtud de ello, desde el momento en el que el usuario es registrado dentro del sitio de Internet https://azuliktribe.com/ toda su información, datos personales, de domicilio, y cualquier otros, serán ingresados dentro de una base de datos segura, la cual únicamente será utilizada para tramitar su inscripción a la plataforma. Como casos excepcionales, AZULIK® TRIBE podrá utilizar información personal y privada de sus usuarios, siempre y cuando cada uno de los usuarios autorice expresamente a AZULIK® TRIBE para dicho uso.

EL USUARIO otorga su autorización expresa a AZULIK® TRIBE para compartir con terceros la información publicada por el USUARIO.

Cuenta

Como se ha mencionado, el USUARIO que desee realizar la suscripción al sitio https://azuliktribe.com/, deberá obtener una cuenta de usuario AZULIK® TRIBE.

AZULIK® TRIBE proveerá dicha cuenta al analizar los datos del usuario, y al efecto le otorgará un número de usuario y la posibilidad de crear su propia contraseña secreta conforme a los parámetros establecidos en el mismo. Dicho número de usuario y contraseña secreta servirán al usuario para identificarse en el sitio https://azuliktribe.com/.

Todos los datos correspondientes a la cuenta, nombre de usuario y contraseña secreta constituyen información personal y privada de cada usuario, y por tanto AZULIK® TRIBE recomienda no revelarlas y mantener dichos datos en secreto. AZULIK® TRIBE no será responsable por el mal uso que se de a una cuenta, nombre de usuario o contraseña secreta.

Uso del Sitio

Cuando la conducta del usuario sea contraria a los intereses y reglas de AZULIK® TRIBE y a los presentes TYC, éste último podrá reservarse el derecho de negar el servicio el acceso y entrega de contraprestaciones.

Queda prohibido transmitir dentro de la página de internet https://azuliktribe.com/ mensajes cuyo contenido sea discriminatorio, dañino, de carácter racial, amenazante, difamatorio, profano, vulgar, obsceno, sexual, y en general a todos aquellos mensajes que vayan en contra de la moral y de las buenas costumbres, por lo que AZULIK® TRIBE tendrá el derecho de desactivar cualquier información al respecto.

Proyectos Ganadores

AZULIK® TRIBE designará en forma unilateral a un comité integrado por al menos 3 (tres) personas que evaluarán los proyectos a su entera discreción y de conformidad con las necesidades de cada desafío publicado.

AZULIK® TRIBE se compromete a que en cada desafío publicará el tipo de la contraprestación a la que el USUARIO tendrá derecho, las cuales pueden ser: i) Reconocimiento social en las redes sociales de AZULIK® TRIBE o bien, la que sea definida en cada uno de los desafíos de acuerdo a su nivel y grado de complejidad.

Comunicación Electrónica

El usuario está de acuerdo en que las comunicaciones por medios electrónicos realizadas, a las cuentas de correo u otros medios electrónicos manifestadas por el propio usuario, se considerarán como válidas entre las partes, en términos de las disposiciones legales aplicables.

En caso de que EL USUARIO incumpla en tiempo y forma con cualquiera de sus obligaciones conforme a los presente TYC, AZULIK® TRIBE se reserva el derecho de suspender la prestación de los servicios y el uso de la aplicación y cancelación de cuenta de USUARIO sin responsabilidad alguna.

Confidencialidad

Las Partes mantendrán de manera confidencial toda la información relacionada con el presente Contrato, excepto por aquella información que (i) las Partes convengan con anticipación y por escrito que puede ser divulgada; (ii) sea de carácter público; y/o (iii) cualquiera de las Partes tenga la obligación de divulgar, revelar, hacer disponible a, o compartir con alguna autoridad gubernamental o con algún mercado o bolsa de valores en el que coticen sus acciones o valores, de conformidad con la legislación aplicable o en virtud de alguna orden o resolución judicial o administrativa, en cuyo caso deberá informar por escrito a la contraparte respecto a su obligación de divulgar información.

Derechos de Propiedad Intelectual (Derechos de autor y derechos de propiedad industrial) Todas las obras de autor, pictóricas, escultóricas, de dibujo, de carácter plástico, arquitectónicas, obras de arte aplicado, derechos de autor sobre el contenido, organización, recopilación, compilación, información, transferencias magnéticas o electrónicas, conversaciones digitales, logotipos, fotografías, diseños, imágenes, programas o en general cualquier información o contenida dentro del sitio de Internet, así como las marcas, signos distintivos, avisos comerciales, y cualesquiera otros derechos de propiedad intelectual que se desplieguen, contengan o se utilicen en el sitio https://azuliktribe.com/ son propiedad de AZULIK® TRIBE, o de sus licenciantes o licenciatarios. Y dichos derechos de propiedad intelectual se encuentran protegidos por los Tratados Internacionales y por las disposiciones vigentes en materia de propiedad intelectual.

EL USUARIO manifiesta bajo protesta de decir verdad y para todos los efectos legales a los que haya lugar lo siguiente:

Que está de acuerdo y conforme en que sus proyectos, ideas y/o soluciones presentadas y publicadas a través de su cuenta por medio esta plataforma colaborativa puede ser utilizados por AZULIK® TRIBE;

Que los proyectos, ideas y/o soluciones presentadas y publicadas a través de su cuenta en esta plataforma colaborativa son de su propia creación y no son copia, ni resultan de un plagio a terceros, que son los actuales y únicos titulares de dicha propiedad intelectual:

Que al llevar a cabo cualquier publicación en el sitio https://azuliktribe.com/ dicha información y documentación podrá ser vista por otros usuarios (terceros ajenos a AZULIK® TRIBE) y que liberan en este momento a AZULIK® TRIBE de cualquier contingencia o responsabilidad por el mal uso que pudieran hacer los terceros respecto de dicha información; Que AZULIK® TRIBE respetará en todo momento la autoría de la información.

En caso de que algún usuario o tercero realice un acto de competencia desleal o acción en franca violación a los derechos de AZULIK® TRIBE se iniciarán las acciones correspondientes a efecto de reivindicar sus derechos, de acuerdo con las disposiciones legales aplicables.

AZULIK® TRIBE respeta los derechos de propiedad intelectual de terceros. En virtud de ello, en el caso de que el usuario o algún tercero considere que el contenido del sitio de Internet https://azuliktribe.com/, viola o vulnera derechos de propiedad intelectual, deberá de dar aviso inmediato y haciendo una relación de hechos y de las supuestas violaciones a: info@azuliktribe.com

Material Publicitario

El usuario reconoce y acepta que toda la información, imágenes, anuncios y materiales publicitarios o promocionales, pertenecen a AZULIK® TRIBE y/o terceros, y que no podrá hacer uso de ellos, salvo autorización expresa y por escrito de AZULIK® TRIBE.

Garantías

AZULIK® TRIBE se reserva el derecho de modificar el presente documento (términos y condiciones) en el momento en que lo crea conveniente notificando por medios electrónicos (página web, aplicación para teléfonos inteligentes o vía correo electrónico) a las partes con cuando menos 10 (diez) días naturales.

AZULIK® TRIBE manifiesta y las PARTES reconocen lo siguiente:

AZULIK® TRIBE no tiene control sobre, ni garantiza (i) la calidad, seguridad, idoneidad o legalidad de ninguna publicación realizada por un USUARIO (ii) la veracidad o exactitud de las descripciones de ningún anuncio ni de las valoraciones, evaluaciones y demás contenido de la página web o (iii) la actuación o la conducta de ningún usuario o tercero. AZULIK® TRIBE no avala a ningún usuario.

AZULIK® TRIBE hará uso de sus esfuerzos razonables en mantener el sitio web https://azuliktribe.com/ así como la aplicación para teléfonos inteligentes (en su caso) en una condición totalmente operativa y libre de errores, sin embargo, no es responsable por algún fallo o error de la plataforma. No tendremos responsabilidad alguna por cualquier fallo en su acceso al sitio web o en su plataforma que sean causados por cualquier software utilizado por usted en la introducción de información.

AZULIK® TRIBE se reserva el derecho de no aceptar, publicar, mostrar o transmitir cualquier contenido del usuario a criterio propio. AZULIK® TRIBE tiene el derecho de revisar y retirar cualquier contenido del usuario que bajo su criterio exclusivo, viole estos términos y condiciones, la normatividad y legislación vigentes, cuando sea abusivo, perjudicial, ofensivo o ilegal, o que viole los derechos dañe o amenace la seguridad de los usuarios del sitio web. AZULIK® TRIBE se reserva el derecho para limitar o vetar el uso de la plataforma a los usuarios y prevenir que vuelvan a acceder y/o usar el sitio web por violar los presentes términos y condiciones, las leyes, normas o regulación aplicable. AZULIK® TRIBE adoptará aquellas medidas que considere conveniente.

EL USUARIO que es el único responsable de su acceso a Internet y es responsable de tomar todas las medidas necesarias para proteger sus propios datos o software, equipos, de la infección por cualquier virus (programa dañino) que pueda extenderse por Internet o mediante otros medios electrónicos.

Menores de Edad

AZULIK® TRIBE no realiza operaciones con menores de edad. De acuerdo con lo anterior, EL USUARIO manifiesta bajo protesta de decir verdad que es mayor de edad y que cuenta con plenas facultades de goce y de ejercicio, de acuerdo con las disposiciones legales aplicables.

Vigencia y terminación anticipada

Estos Términos y Condiciones de uso tendrán una vigencia indefinida, y empezará a correr a partir del día en que se acepten dichos Términos y Condiciones de uso y se realice el pago correspondiente, por parte del usuario presionando aceptar (click) en los botones contenidos en este sitio de Internet.

Protección de datos personales

Las partes se obligan a que todos los datos personales, según se definen en la Ley Federal de Protección de Datos Personales en Posesión de los Particulares y su Reglamento, serán tratados con la mayor cautela y de manera confidencial, resguardándolos en todo tiempo, manteniendo y estableciendo medidas de seguridad administrativas, técnicas y físicas que permitan protegerlos contra daño, pérdida, alteración, destrucción o el uso, acceso o tratamiento no autorizado, observando en todo tiempo principios de licitud, consentimiento, información, calidad, finalidad, lealtad, proporcionalidad y responsabilidad en cuanto a dichos datos.

Las obligaciones a cargo de las partes, a que se refiere la presente cláusula, permanecerán vigentes mientras subsista el presente instrumento y en forma indefinida posteriormente a la rescisión o terminación natural o anticipada del mismo, por cualquier causa. En ningún caso, el incumplimiento de alguna de las partes respecto a cualquier de las obligaciones emanadas del presente contrato, liberará a la otra de las obligaciones y términos contenidos en la presente cláusula.

Impuestos.

Los impuestos presentes y futuros que se causen con motivo del presente contrato, serán cubiertos por quien tenga la obligación de causarlos, pagarlos, enterarlos o recaudarlos, conforme a la legislación fiscal vigente. En ningún caso, las partes absorberán las contribuciones o impuestos a cargo de la contraparte.

Resolución de conflictos.

En caso de disputa entre las PARTES derivada de conflictos desarrollados durante o posterior la relación contractual, las PARTES deberán en forma inmediata y de buena fe, negociar y conciliar una solución que permita la resolución del conflicto.

En caso de incumplimiento a las obligaciones establecidas en el presente contrato por alguna de las PARTES, se deberán buscar soluciones de buena fe mediante la negociación y conciliación.

En caso de no lograr un acuerdo para la resolución del conflicto las PARTES, se sujetan a los términos establecidos en el presente contrato y a la legislación aplicable.

EL USUARIO manifiesta que cuenta con la capacidad jurídica y económica suficiente para contratar y obligarse en los términos del presente contrato.

De conformidad con la naturaleza de las operaciones aquí pactadas, los USUARIOS reconocen que AZULIK® TRIBE no les está otorgando ningún tipo de relación comercial o civil, o de mandato, que no se encuadra de manera alguna relación laboral alguna con los usuarios, únicamente sus funciones se limitan publicar desafíos.

AZULIK® TRIBE no puede asegurar que un usuario perfeccionará una operación pactada ni podrá verificar la identidad o datos personales ingresados por los usuarios, asimismo, no garantiza la veracidad de la publicidad de terceros que aparezca en el sitio.

AZULIK® TRIBE no es responsable por cualesquier daño o perjuicio que sean causada directa o indirectamente por fallas propias o ajenas a AZULIK® TRIBE en el sistema, en el servidor, así como por cualquier programa informático dañino.

Los presentes TYC y su carátula informativa constituyen el único y total acuerdo entre las Partes por lo que supera y deja sin efecto cualquier otra negociación, obligación comunicación o documento, ya sea verbal o por escrito, realizada o contraída de cualquier forma con anterioridad a la fecha de firma electrónica de este Contrato.

Legislación aplicable y jurisdicción

Estos Términos y Condiciones de Uso se acuerdan entre el usuario y AZULIK® TRIBE, por lo que, en caso de controversia, serán sujetos e interpretados de acuerdo a las Leyes y Tribunales de la Ciudad de Tulum, Estado de Quintana Roo, México.
